of members of the Company for passing the Ordinary Resolution
under Section 293(1)(a) of the Companies Act, 1956 to transfer,
sell and/or otherwise dispose off the Nagpur plant of the Company
including its leasehold land and all other assets, as set out
in the Notice of Postal Ballot dated 25th June 2008. .
